Jan Minarik, a marketing and branding contractor, provides the following terms of trade to govern his professional relationship with his clients.

Scope of Services Jan Minarik agrees to provide the client with the services described on his website, including graphic design, video editing, marketing, and branding. The scope of services may be modified by mutual agreement in writing between Jan Minarik and the client.

Payment Terms The client agrees to pay Jan Minarik the agreed-upon fee for the services rendered according to the payment schedule agreed upon in writing by both parties. The client shall pay all invoices within the timeframe agreed upon in the contract.

Intellectual Property Jan Minarik retains all intellectual property rights to the work created, unless otherwise agreed in writing by both parties. The client shall not use any of the work created by Jan Minarik for any purpose not explicitly agreed upon in writing.

Confidentiality Jan Minarik agrees to keep confidential all information, including but not limited to trade secrets, provided by the client and will not disclose such information to any third party. This confidentiality obligation shall survive the termination of this agreement.

Termination Either party may terminate this agreement at any time, for any reason, by giving written notice to the other party. Upon termination, the client shall pay Jan Minarik for all services rendered up to the date of termination.
